Introduction
These Terms of Service ("Terms") govern any project, retainer, or engagement between SK Services ("we," "us," "our") and the individual or business that hires us ("you," "the client"). By approving a proposal, paying a deposit, or otherwise instructing us to begin work, you agree to be bound by these Terms.
We've tried to write these in plain language rather than dense legal jargon, because the goal is a shared understanding of how a project runs — not a document designed to catch you out. If anything here is unclear, ask us before you sign off on a project.
Eligibility
Our services are intended for businesses and individuals who are at least 18 years old and who have the authority to enter into a binding agreement on behalf of themselves or the company they represent. By engaging SK Services, you confirm that this is the case.
Services
SK Services provides professional digital services, which may include any combination of the following depending on your agreed scope of work:
- Custom website development
- Website maintenance and management
- Google Ads management
- Graphic design
- Social media management
- UI/UX design
- Landing page development
- Digital consulting
The exact deliverables, timeline, and price for your project are set out in a separate proposal, quote, or statement of work. Where anything in that document conflicts with these Terms, the specific proposal takes precedence for that engagement.
Pricing & Payments
Pricing for each project is quoted individually based on scope, complexity, and timeline, and is confirmed in writing before work begins.
Advance payment. Unless otherwise agreed in writing, a minimum of 50% of the total project fee is required as an advance payment before any work begins. The remaining balance is due according to the payment schedule in your proposal, typically on delivery or at agreed milestones.
For ongoing services such as maintenance, Google Ads management, or social media management, fees are billed on a recurring basis (typically monthly) and are due in advance of the service period they cover.
Late payments
If an invoice isn't paid by its due date, we reserve the right to pause active work, delay delivery, or suspend a live website or campaign until the account is brought current. Invoices unpaid for more than 14 days past their due date may accrue a late fee of 1.5% per month on the outstanding balance, or the maximum rate permitted by law, whichever is lower.
Repeated late payment may result in a change to our standard payment terms for future work, including requiring full payment upfront.
Scope of Work
Every project begins with an agreed scope of work describing the pages, features, campaigns, or deliverables included. This scope is the basis for your quoted price and timeline.
Revisions
Each project includes a set number of revision rounds, specified in your proposal. A revision round means consolidated feedback on a delivered draft, addressed in a single pass. Unless otherwise agreed, most website and design projects include two rounds of revisions.
Scope creep
Requests that fall outside the original scope of work — additional pages, new features, extra design concepts, added ad campaigns, or a substantially changed brief — are considered scope creep. We'll always flag this to you before doing the work, rather than silently absorbing it.
Additional work billing
Work outside the agreed scope, or revision requests beyond the included rounds, will be quoted separately and billed at our standard hourly rate or as a fixed add-on fee, and requires your written approval before we proceed.
Client Responsibilities
A project's timeline depends on us receiving what we need from you when we need it — content, feedback, brand assets, account access, and approvals. Delays on your end will shift the delivery timeline accordingly.
30-day inactivity clause. If a project stalls due to lack of client response, content, or feedback for 30 consecutive days, we may consider the project paused. Resuming a paused project may require a new timeline, a re-confirmation of scope, and — for projects paused longer than 90 days — a restart fee to cover re-onboarding and reallocation of resources.
Delivery Timelines
Estimated delivery timelines are provided in good faith based on the agreed scope and assume timely client input. Timelines are estimates, not guarantees, and may shift due to the complexity of feedback, the volume of revisions requested, or delays outside our control, including those covered under Force Majeure below.
Force Majeure
Neither party will be held liable for a failure or delay in performing their obligations under these Terms where that failure or delay results from circumstances beyond their reasonable control, including natural disasters, internet or infrastructure outages, third-party platform outages, government action, or other events of a similar nature. Affected obligations will be resumed as soon as reasonably possible once the event has passed.
Hosting & Third-Party Disclaimers
Hosting
Where we recommend or configure third-party hosting on your behalf, we are not the hosting provider and are not responsible for that provider's uptime, security incidents, pricing changes, or policy changes. Ongoing hosting-related issues after handover are covered under a maintenance agreement, where one is in place.
Third-party platforms
Our services may rely on third-party platforms and providers — including but not limited to domain registrars, hosting companies, payment processors, Google Ads, Google Analytics, and social media platforms. We are not responsible for outages, policy changes, price changes, or account actions taken by these third parties, as they operate outside our control.
Google Ads
Where we manage Google Ads campaigns on your behalf, ad spend is billed directly by Google and is separate from our management fee. Campaign performance depends on factors including market competition, industry, seasonality, and Google's own algorithms and policies, none of which we control.
We do not guarantee specific search rankings, website traffic, conversions, leads, or sales as a result of any website, SEO work, or advertising campaign. Digital marketing performance depends on many variables outside our control, and any performance figures we share during a project are estimates or historical benchmarks, not commitments.
Intellectual Property
Until a project is paid for in full, all designs, code, copy, and other deliverables remain the intellectual property of SK Services.
Ownership transfer. Upon receipt of full payment for a project, ownership of the final, agreed deliverables (such as the completed website files, final designs, or ad account assets we created for you) transfers to you. This does not include our internal tools, proprietary frameworks, code libraries, or design systems, which we retain the right to reuse across other projects.
Portfolio rights
Unless you request otherwise, we reserve the right to showcase completed work — including screenshots, descriptions, and links — in our portfolio, case studies, and marketing materials.
Confidentiality requests
If your project involves confidential or sensitive material, let us know before work begins. We're happy to sign a mutual non-disclosure agreement or agree to exclude a project from our portfolio on request.
Limitation of Liability
To the fullest extent permitted by law, SK Services will not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services or deliverables, including but not limited to loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Our total liability arising from any project, however it arises, is limited to the total fees you paid to us for that specific project in the 12 months preceding the claim.
Indemnification
You agree to indemnify and hold SK Services harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the delivered work, your breach of these Terms, or content you provided to us that infringes on the rights of a third party.
Termination & Suspension
Either party may terminate an active project with written notice. If you terminate a project partway through, you remain responsible for payment for all work completed up to that point, and any non-refundable costs already incurred on your behalf (such as domains or third-party licenses).
We reserve the right to suspend or terminate work, including taking a live site or campaign offline, in cases of non-payment, abusive conduct toward our team, or a request to perform unlawful work.
Governing Law
These Terms are governed by the laws of India, without regard to its conflict-of-law principles. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts located in New Delhi, India.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or legal requirements. The "last updated" date at the top of this page reflects the most recent revision. Material changes will be communicated to active clients directly; continued use of our services after changes take effect constitutes acceptance of the revised Terms.
